Terms of Service

1. Acceptance of Terms

By accessing or using Axovira Technologies website (axovira.in) or any of our services, you agree to be legally bound by these Terms of Service. If you do not agree, please discontinue use immediately.

2. Services Offered

Axovira Technologies provides the following IT services:

• Custom Web & Mobile App Development

• AI/ML Integration & Automation Solutions

• UI/UX Design & Prototyping

• E-Commerce Development & Integration

• Cloud Infrastructure & DevOps

• SaaS Product Development

• SEO & Digital Marketing

• IT Consulting & Technical Support

All services are governed by a separate project agreement/proposal signed by both parties.

3. Payment Terms

• 50% advance payment required before project commencement — non-refundable once work begins

• Remaining 50% due upon project completion before final delivery

• Monthly support & maintenance billed 1 month in advance

• Server/hosting charges paid 1 month in advance — non-refundable

• 1st month support is FREE for all projects

• All prices in Indian Rupees (INR) unless stated otherwise

• GST/taxes applicable as per Indian government regulations

• Late payments attract 2% monthly interest after 7-day grace period

• Non-payment may result in suspension of services and legal action

4. Project Timeline & Delays

• Project timelines are estimates based on agreed scope

• Client-side delays (feedback, content, approvals) may extend timelines

• Rush projects (under 1 month) attract 20% additional charges

• Axovira Technologies is not liable for delays caused by third-party services

• Force majeure events (natural disasters, government orders) exempt both parties

5. Intellectual Property Rights

Upon receipt of full and final payment, client receives:

• Full ownership of custom code written for their project

• All design assets created exclusively for their project

• Complete source code, documentation, and project files

Axovira Technologies retains ownership of:

• Proprietary frameworks, internal tools, and reusable components

• Pre-existing code libraries and development methodologies

• The right to showcase work in portfolio unless NDA is signed

• All work remains property of Axovira Technologies until full payment received

6. Revisions & Change Requests

• Each project includes revision rounds as specified in the proposal

• Additional revisions beyond agreed scope charged at ₹1,000–₹3,000/hour

• Scope changes require written approval and may affect timeline and cost

• Client must provide feedback within 7 business days of deliverable submission

• Silence beyond 14 days implies acceptance of delivered work

7. Confidentiality & NDA

Both parties agree to maintain strict confidentiality of:

• Business strategies, trade secrets, and proprietary information

• Technical specifications, source code, and project architecture

• Client data, user information, and database contents

• Pricing, contracts, invoices, and financial information

Violation of confidentiality may result in legal action and damages.

8. Data & Security

• Axovira Technologies implements industry-standard security practices

• Client data is handled with strict confidentiality

• We are not responsible for data breaches caused by client-side security failures

• Clients are responsible for securing their own credentials and access keys

• We recommend regular backups — we are not liable for data loss after project handover

9. Warranty & Support

• 30-day free bug fix warranty on all delivered projects (excludes new features)

• Warranty void if client or third party modifies the code post-delivery

• Post-warranty support available through monthly maintenance plans

• Server uptime SLA of 99.9% for projects hosted on our recommended infrastructure

10. Limitation of Liability

Axovira Technologies shall not be liable for:

• Indirect, incidental, special, or consequential damages

• Loss of revenue, data, profits, or business opportunities

• Third-party service failures (payment gateways, APIs, hosting providers)

• Damages arising from client misuse of delivered software

• Events beyond our reasonable control

Maximum liability shall not exceed the total amount paid for the specific service.

11. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination:

• Client pays for all work completed up to termination date

• Advance payments are non-refundable for commenced work

• All project files delivered upon receipt of final payment

• Both parties must return or destroy confidential information within 7 days

• Post-termination, Axovira Technologies has no obligation to maintain services

12. Dispute Resolution

• Both parties agree to first attempt resolution through direct communication

• Unresolved disputes subject to arbitration under Indian Arbitration Act

• Legal jurisdiction: Moradabad, Uttar Pradesh, India

• Governing law: Laws of the Republic of India

13. Amendments

Axovira Technologies reserves the right to modify these terms at any time. Continued use of services after changes constitutes acceptance of updated terms. Clients will be notified of significant changes via email.
